These terms apply to the services provided by Intelligent Networx Pty Ltd (ABN pending) to our clients. By engaging us, you agree to these terms.
Scope of services
The scope of each engagement is defined in the written quote or statement of work we provide. Any work outside that scope is quoted separately before it begins.
Fees and payment
Our fees are set out in your quote. Invoices are issued in accordance with the agreed payment terms. Ongoing managed services are billed monthly in advance. Project work is invoiced at agreed milestones.
Client responsibilities
- Provide us with reasonable access to your systems and premises.
- Designate a contact person for approvals and decisions.
- Maintain your own records and backups independently, where required.
- Notify us promptly of any security incident or system failure.
Warranty and liability
We warrant that our services will be performed with reasonable care and skill. To the extent permitted by law, our liability for any claim is limited to the amount you paid us for the service in question. We do not accept liability for indirect or consequential loss.
Confidentiality
We treat information about your systems and business as confidential. We do not disclose it to third parties except as required to provide the service or as required by law.
Termination
Either party may terminate ongoing services in accordance with the notice period in your agreement. Project work that has commenced will be completed or wound down in a controlled manner.
Governing law
These terms are governed by the laws of New South Wales, Australia.
Quotes and variations
A quote is valid for the period stated on it, usually 30 days. Prices are fixed for the scope described. If you ask us to change the scope, or if we find something outside the original scope during the work, we will provide a separate variation quote before that extra work begins. You are never billed for variation work you have not approved in writing.
Payment terms
Project invoices are payable within 14 days unless your quote says otherwise. Managed services are billed monthly in advance and payable within 14 days of issue. We may charge interest on overdue amounts at the rate set out in your agreement, and we may suspend services if an invoice remains unpaid after a reminder. We will always tell you before suspending anything.
Intellectual property
You retain ownership of your data and your pre-existing systems. Materials we create specifically for your engagement, such as network documentation or configuration scripts, are licensed to you for use within your business once the work is paid for. Third-party software remains subject to the vendor’s own licence terms.
Third-party products and cloud services
Where an engagement includes Microsoft, Cisco, Fortinet or similar products, those products are provided under the vendor’s terms. We help you configure and support them, but we do not warrant the vendor’s software itself.
Service levels
Response and resolution targets are set out in your managed services agreement. In short: critical outages are treated as a priority and you are kept informed; routine requests are scheduled. We report on our performance against these targets every quarter.
Subcontractors
Most work is performed by our own NSW-based engineers. Where we use a specialist subcontractor, we remain responsible for the work and ensure the subcontractor is bound by confidentiality obligations consistent with these terms.
Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, such as natural disasters, telecommunications outages or government restrictions. Each party will use reasonable efforts to resume performance as soon as practicable.
Severability
If any part of these terms is found to be unenforceable, the remaining parts continue in effect.
